Terms & Conditions Of Membership

1. Member Benefits and House Rules

1.1
Greater reserves the right to accept or reject any application for Membership to the Club at its absolute discretion, and is in no way obliged or required to provide its reasons for doing so.
1.2
Members are subject at all times to the House Rules and Terms and Conditions in force. Kindly refer to the Membership Deck and Welcome Booklet for more information.

2. Billing

2.1
Depending on your choice of membership – annual or monthly – your billing cycle will be annual or on the 1st day of each month.
2.2
Proration will apply should your membership start after the first (1st) of the month. Kindly refer to Section 4.3 for more information.
2.3
Ancillary charges (Barista coffee, honour bar, etc) (“Ancillary Charges”) will be due on the first (1st) day of each month.
2.4
Ancillary charges will be invoiced on the 1st of every month regardless of the membership type; annual membership or monthly membership.
2.5
Full charges will apply if a Meeting Room booking cancellation is done less than 24 hours prior to the booking. Free cancellation will apply if more than 24hr notice is given.

3. Payment of Registration Fee

3.1
Payment is required upon signing this Application Form.
3.2
You are required to pay the non-refundable registration fee and your first year or first month’s Subscription Fee (Annual or Monthly membership), at the end of this Application Form. Kindly refer to the payment prompt that will show at the end of this form.
3.3
Late payment fees will not be charged. However, we do advise that you make payments in a timely manner to avoid any lapse in membership. Kindly refer to Section 8 for more information.

3.4
Registration fees are subject to change.

4. Subscription Fee

4.1
You are liable for the full sum payable for the duration of your membership with us (the “Term of Membership”), to be paid annually or monthly in the form of Subscription Fees. You must pay your Subscription Fees in advance, along with other ancillary services charges, no later than the yearly start date of your membership (annual membership) or the first (1st) day of each month (monthly membership). Your Subscription Fees will be invoiced to you on the first (1st) day of the month, charging for next year or next month with payment due no later than the fourteenth (14th) of the month.
4.2
Unless otherwise informed by Greater expressly and in writing, your monthly payment shall generally comprise (a) your Subscription Fee for the coming year or month and (b) the Ancillary Charges from the preceding year or month (including fees incurred from food and beverages).
4.3
If your membership starts between 2nd – 15th of the month, proration will apply. If your membership starts between 16th – 30th/31st of the month. The first months’ charge will be applicable on the 1st of the next month.

4.4
Subscription fees are subject to change.

5. Forms of Payment

5.1
Greater accepts payment of the fees and charges under this membership via bank transfer or credit card payment only.
5.2
You must inform Greater promptly of any change to the relevant credit card details and ensure that you replace such credit card prior to its expiration date and inform Greater of the new details thereafter.
5.3
You shall bear all bank charges applicable to any payments which you make to Greater.
5.4
Any change of payment method must be notified to Greater and completed within the first 15 days of the calendar month. Any such change within the last fourteen (14) days of the calendar month will not be accepted.
5.5
If we are unable to process payment via your credit card after two (2) attempts, Greater may in its sole discretion require you to make payment via other modes of payment, including but not limited to bank transfer.

6. No Refund Policy

6.1
One-Time Joining/Registration Fee is strictly non-refundable.
6.2
Subscription Fee (monthly/annual membership) is strictly non-refundable.
6.3
Ancillary Charges are strictly non-refundable.

7. Charges and consequences for Late and/or Non-Payment

Late payment fees will not be charged. Further and/or in any event, if part or whole of the Subscription Fee remains due and outstanding for sixty (60) consecutive days, Greater reserves its right to terminate your Membership with immediate effect and without prior notice to you, which includes but is not limited to the deactivation of your membership access. You hereby irrevocably agree to grant Greater a lien over all property (which includes but is not limited to any equipment, documents, possessions or other property) which you bring onto premises occupied and/or operated by Greater and/or The Great Room (the “Premises”) at any time during the Term of Membership.

8. Goods and Services Tax

All amounts stated in this application form are exclusive of GST. “GST” means the prevailing tax imposed under the Goods and Services Tax Act (Chapter 117A of Singapore). You shall pay to Greater, in addition to the fees and charges under this application form, a sum equal to the prevailing GST chargeable on the provision to you of any service by Greater in accordance with this application form.

9. Renewal and Termination of Membership

9.1
Should you choose the option of auto-renewal of your membership, no notification will be provided prior to the automatic renewal of your membership. The Subscription Fee will be charged to the credit card you have provided.
9.2
Should you wish to join us as a member again after the termination of your Membership, the joining fee will apply.
9.3
Greater will extend a grace period of up to sixty (60) days for payment to be made of any charges which fall due, including but not limited to Subscription Fees and/or Ancillary Charges.
9.4
You may terminate your Membership at any time by giving one (1) months’ notice in writing. Kindly write to us at talktous@thegreaterclub.co to inform us of your decision. The effective date of termination of membership shall be one (1) month from the date of our receipt of your written notice.

9.5
All outstanding membership and Ancillary Charges must be paid upon termination of membership.

9.6
Greater reserves the right to terminate your Membership in accordance with the terms stated in Section 11.

10. Term

The Term of Membership shall commence on the first business day after which our receipt of payment of the Subscription Fee.

11. Termination by You

You may terminate this membership at the end of the term (whether initial or renewal) by giving Greater at least two (2) weeks written notice. For the avoidance of doubt, you shall not be entitled to terminate this membership prior to the expiry of its term (whether initial or renewal).

12. Termination by Greater

Greater may terminate this membership with immediate effect by giving you written notice where: (a) Greater is no longer able to provide you with access to the Premises; (b) you breach any material provision of this membership and that breach is in Greater’s view not capable of remedy; (c) you fail to pay any amount due under this membership the due date for payment, and such amount remains due and outstanding for 60 days; (d) you become insolvent, and/or liquidation or bankruptcy proceedings are commenced against you; or (e) Greater, in its sole and absolute discretion, deems fit to do so. For avoidance of doubt, unless otherwise agreed between Greater and you, you remain fully liable for any amounts which are outstanding and due to Greater, which includes the Subscription Fee for the Term of the Membership and any outstanding Ancillary Charges.

13. Operational Hours

13.1
“Operational Hours” are from 9:00 a.m. to 6:00 p.m. on Mondays to Fridays, with the exception of public holidays in Singapore.
13.2
Greater staff shall only render their assistance and support to Members on the Premises during Operational Hours.

14. Access to Office Space

Greater has the right to access the Office Space at any time and without prior notice for cleaning and maintenance, inspection, safety or emergency purposes.

15. Utilisation of Office Space

15.1
You shall use the Office Space – Meeting Rooms and Hot Desking Areas – only for commercial office use, and not for any immoral, illegal or other purpose.
15.2
You shall be liable to Greater for any damage to the Premises and/or the Facilities caused by you or your guests. In the event of such damage, you shall indemnify Greater for all reasonable repairs, replacement and/or costs of making good the same, including but not limited to repainting, plastering or repairs to walls, replacement of carpets, repairs or replacement of furniture, fixtures and wall sockets etc.

16. Your Obligations

16.1
When accessing the Premises or using your membership, you must not, and you must ensure that your guests do not: (a) violate any applicable laws or regulations; (b) defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (including the right of privacy) of others; (c) attempt to modify, reproduce, copy, adapt, misuse, or undermine the security or integrity of Greater’s computing networks or member’s platform in any way which may impair its functionality or violate any laws; (d) alter or re-configure any part of the set-up of the Premises; (e) hold yourself out as a representative of Greater or attempt to assume any obligations on behalf of Greater; (f) hand over or lend your membership card to any other members, guests, or representative to enter or use the Premises without prior approval from Greater; or (g) disclose, commercialize or otherwise use any Confidential Information (as defined below) provided to you in the course of your membership, other than for purposes authorized by the provider of the information.
16.2
You agree that: (a) you will keep the Premises clean and take good care of everything on the Premises;. (b) Greater is entitled to and may prohibit or stop any activity in the Premises which it considers to be objectionable, dangerous, unlawful, an attempt to evade your payment obligations under this membership and/or an infringement of the Intellectual Property Rights, herein defined as any patent, trade mark, service mark, copyright, moral right, right in a design, know-how and any other intellectual or industrial property rights, anywhere in the world whether or not registered, of Greater or a third party or which may potentially damage Greater’s reputation; and (c) the whole of the Premises remains in Greater’s exclusive possession and control at all times.

17. Indemnity

17.1
You agree to indemnify and keep indemnified Greater, and hold Greater harmless from and against all actions, demands, writs, summons, claims, proceedings, judgment orders, decrees, costs (including legal costs and expenses), losses, damages or liabilities suffered or incurred by Greater, which arises directly or indirectly out of or in connection with your:
17.1.1
Failure to comply with the membership terms;
17.1.2 Misuse of the Premises or any part thereof pursuant to your membership or otherwise; (a) yours and/or your guest(s)’ actions and/or omissions (b) negligence, and/or negligence of yours and/or guest(s)
17.1.3 Infringement of any Intellectual Property Rights, privacy or other rights of a third party (including but not limited to other Members, service providers to Greater and licensors to Greater).

18. Confidentiality

18.1
You acknowledge and agree that during your use of the Greater member’s platform, the Premises and your membership, you may be exposed to and/or otherwise have access to Confidential Information. “Confidential Information” shall mean all information, in whole or in part, that is disclosed by Greater, any employee, affiliate, or agent of Greater, any other member or a third party that is non-public, confidential or proprietary in nature.
18.2
Confidential Information shall include, without limitation, information about the terms of this membership, business, sales, operations, know-how, trade secrets, technology, products, employees, customers, marketing plans, financial information, services, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems and/or books and records, any analyses, compilations, studies or other documents or otherwise derived in any manner from the Confidential Information and any information that you are obligated to keep confidential or know or have reason to know should be treated as confidential.
18.3
Your use of the Greater member’s platform, Premises and your membership requires that you: (a) maintain all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third parties; and (c) not use Confidential Information in any way directly or indirectly detrimental to Greater, other Members or any third party.
18.4
All Intellectual Property Rights remain the property of the owner. You agree that these Terms and Conditions and your membership does not grant you any Intellectual Property Rights, by license or otherwise

19. Intellectual Property

19.1
Title to, and all Intellectual Property Rights with respect to, the Greater member’s platform and any associated documentation and text are the property of Greater (or third party intellectual property licensors to Greater) and may not be used or reproduced in full or in part without Greater’s prior written notice.
19.2
You may not, unless permitted by these Terms and Conditions, use the Greater member’s platform, or the material contained on it or linked to it (the “Material”), for any purpose. This includes the reproduction, distribution or re-transmission of the Material in any material form.

20. Personal Data

By signing this membership application form, you agree that Greater may collect, use and disclose your personal data, as provided in this application form, or (if applicable) obtained by our organisation in connection with of your membership, for the following purposes in accordance with the Personal Data Protection Act 2012.
(a) the processing of this membership application; and
(b) the administration of your membership with our organisation.

21. Marketing Material

You agree that Greater may collect, use and disclose your personal data, which you have provided in this form, for providing marketing material that you have agreed to receive, in accordance with the Personal Data Protection Act 2012.
By submitting this application, you are acknowledging that you agree to receive the following:
● Our organisation’s monthly Newsletter (sent by us via email)
● Information sent by our organisation about our organisation’s products and services, including updates on our latest promotions and new products and services, via the following channels:
● Information sent by our organisation on selected third parties’ products and services, such as updates on their latest promotions and their new products and services, via the following channels: Email, Text Message, and Phone Call

22. Marketing Release

We may occasionally take and share photographs, images or audio-visual recordings of the Premises, where your photograph, voice, likeness and image may be used. By being a Member, you consent to the use of your photograph, voice, likeness and image in Greaters’ publications and publicity materials, including its websites and social media. All recordings, articles, quotes, photographs, films, audio or video and/or any reproductions of same in any form, are the property of Greater, and Greater reserves the right to use the aforementioned materials without any payment to you.
